These Terms of Service ("Terms") govern your use of the Pays Wallet mobile application and associated services (collectively, the "Service") operated by Pays Solutions ("Pays," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Pays Wallet. By using the Service, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under any applicable law or regulation.

2. Account Registration

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials, including any passkeys or authentication methods linked to your account. You agree to notify us immediately of any unauthorised use. You are responsible for all activities that occur under your account.

3. Self-Custody Wallet

3.1 Key Management

Pays Wallet is a self-custody wallet. Your private keys are generated and stored exclusively on your device. We do not have access to, and do not store, your private keys. You are solely responsible for securing your device and any recovery mechanisms. Loss of access to your private keys may result in the permanent loss of your digital assets.

3.2 Smart Wallet

Pays Wallet uses account abstraction technology (powered by ZeroDev) to provide smart wallet functionality, including social recovery and gasless transactions on supported networks. While this improves usability, you remain solely responsible for the security and control of your wallet.

3.3 Supported Networks

The Service currently supports Base, Arbitrum, Optimism, and Polygon networks. We may add or remove support for blockchain networks at our discretion. We are not responsible for any loss resulting from interactions with unsupported networks or tokens.

4. Virtual Visa Debit Card

4.1 Card Issuance

Virtual Visa debit cards are issued through our partner Gnosis Pay. Card issuance is subject to successful identity verification (KYC), acceptance of Gnosis Pay's terms and conditions, and eligibility requirements. Pays facilitates access to the card service but is not the card issuer.

4.2 Card Usage

Your virtual card may be used at any merchant that accepts Visa, subject to Gnosis Pay's terms, spending limits, and applicable regulations. Card transactions are settled from your wallet balance. You are responsible for ensuring sufficient funds are available for each transaction.

4.3 Card Terms

Your use of the virtual Visa card is additionally governed by Gnosis Pay's terms of service, card terms, and privacy policy, which you must accept separately during card onboarding.

5. Transactions

5.1 Cryptocurrency Transactions

You may send, receive, and swap cryptocurrency through the Service. All blockchain transactions are irreversible once confirmed on the network. We cannot reverse, cancel, or refund cryptocurrency transactions. You are solely responsible for verifying recipient addresses, amounts, and network selection before confirming any transaction.

5.2 Send by Email

The send-by-email feature allows you to send cryptocurrency to an email address. The recipient must create or have a Pays Wallet account to claim the funds. Unclaimed transfers are subject to expiry and return policies as displayed in the app at the time of sending.

5.3 Deposits and Withdrawals

Fiat deposit and withdrawal services are provided by Bridge. These transactions are subject to Bridge's terms of service, fees, and verification requirements. Pays does not process fiat currency directly and is not responsible for delays, failures, or issues arising from third-party deposit and withdrawal services.

5.4 Token Swaps

Token swap functionality is provided through decentralised exchange protocols. Swap rates are determined at the time of execution and may differ from quoted rates due to price movement or slippage. We do not guarantee any particular exchange rate.

6. Fees

Transactions on the Base network may be processed with zero network fees through our smart wallet infrastructure. Transactions on other supported networks are subject to standard network fees. Card transactions, fiat deposits and withdrawals, and token swaps may incur fees as disclosed at the time of each transaction. We reserve the right to introduce or modify fees with prior notice.

7. Identity Verification

Certain features, including virtual card issuance and fiat deposit or withdrawal access, require identity verification (KYC). Verification is processed by our partner SumSub. You agree to provide accurate and complete information. Providing false or misleading information is a violation of these Terms and may result in account suspension or termination.

8. Prohibited Activities

You agree not to:

Use the Service for any unlawful purpose, including money laundering, terrorist financing, or sanctions evasion.
Attempt to gain unauthorised access to the Service, other accounts, or our systems.
Interfere with or disrupt the Service or its infrastructure.
Use the Service to engage in market manipulation, fraud, or deceptive practices.
Circumvent any rate limits, security measures, or access controls.
Use automated means (bots, scrapers, etc.) to access the Service without our written consent.
Violate any applicable laws or regulations in your jurisdiction.
Use the Service if you are located in, or a resident of, a jurisdiction where cryptocurrency services are prohibited.

9. Intellectual Property

All content, branding, trademarks, software, and materials associated with Pays Wallet are the property of Pays Solutions or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Disclaimers

10.1 No Financial Advice

Pays does not provide financial, investment, tax, or legal advice. Token prices, portfolio values, and market data displayed in the app are for informational purposes only. You should consult a qualified professional before making financial decisions.

10.2 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10.3 Blockchain Risks

Cryptocurrency and blockchain technology carry inherent risks, including but not limited to price volatility, smart contract vulnerabilities, network congestion, regulatory changes, and the potential for total loss of funds. You acknowledge and accept these risks.

11. Limitation of Liability

To the maximum extent permitted by law, Pays Solutions and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets, arising from or related to your use of or inability to use the Service.

In no event shall our total aggregate liability exceed the amount you have paid to Pays (if any) in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Pays Solutions and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Because Pays Wallet is a self-custody wallet, you retain access to your digital assets through your private keys regardless of account status.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you accept (such as Gnosis Pay card terms), constitute the entire agreement between you and Pays regarding the Service.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by email. The "Effective date" at the top of this page indicates the date of the latest revision. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
